1. About us
Foodwise Wholesale Ltd is a company registered in England and Wales under company number 00000000, with its registered office at Foodwise House, Unit 1, Meridian Distribution Park, Manchester M17 1AA. Our VAT registration number is GB 000 0000 00. In these terms, “we”, “us” and “our” refer to Foodwise Wholesale Ltd.
2. Trade customers only
We supply goods to business customers only. By opening an account or placing an order you confirm that you are acting in the course of a business and not as a consumer, and that the person placing the order is authorised to do so on behalf of the account holder.
3. These terms
These terms apply to all quotations, orders and contracts for the supply of goods and services by us, to the exclusion of any terms the customer seeks to impose. They may be varied only in writing signed by an authorised representative of Foodwise Wholesale Ltd. Where a separate signed supply agreement exists between us, that agreement takes precedence to the extent of any conflict.
4. Accounts and credit
- Accounts are opened at our discretion and are subject to satisfactory trade and bank references.
- Credit limits and payment terms are notified in writing and may be reviewed or withdrawn at any time.
- Account holders are responsible for keeping login credentials secure and for all orders placed using them.
- You must tell us promptly of any change to your trading name, ownership, registered address or delivery sites.
5. Prices
Prices are quoted exclusive of VAT and are those set out in the written price schedule issued to your account. Each line on the schedule states the period for which the price is held. Market-priced lines — including fresh produce, fish and certain commodity items — may vary and are confirmed at the point of order. Any change to a held price will be notified in writing in advance.
Prices shown within a signed-in account apply to that account only and are confidential to it.
6. Orders
An order is accepted when we confirm it, or when goods are despatched, whichever happens first. We may decline an order or limit quantities where stock, credit or delivery constraints require it. Minimum order values and any carriage charges are stated on your price schedule.
We will not substitute a specified line without your consent. Where we cannot supply an ordered item, we will tell you before the vehicle is loaded and offer an alternative.
7. Delivery
- Delivery dates and windows are agreed at account set-up and are given in good faith, but time is not of the essence unless expressly agreed in writing.
- Risk in the goods passes on delivery to the agreed address. Title passes on payment in full.
- You must provide safe access for our vehicles and personnel, and someone authorised to receive and check the delivery.
- Shortages, damage and rejections must be recorded on the delivery note at the time of delivery.
8. Inspection, claims and returns
Goods must be examined on delivery. Claims for shortage, damage or incorrect goods must be noted on the delivery note and confirmed to us within 24 hours. Claims relating to latent defects must be made promptly on discovery and in any event within the shelf life of the product.
Chilled, frozen, fresh and bespoke or specially ordered goods are not returnable except where defective. Other goods may be returned, unused and in original packaging, by prior agreement.
9. Payment
Unless otherwise agreed, invoices are payable within 30 days of the end of the month of invoice. We may charge interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend supply while an account is overdue.
10. Food safety and product information
We supply product specifications, allergen information and nutritional data in good faith and based on information provided by our suppliers. It is the customer's responsibility to check product labelling and specification before use, to satisfy itself that a product is suitable for its intended purpose, and to maintain the cold chain and safe storage after delivery.
11. Liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.
Subject to that, our total liability arising under or in connection with any contract is limited to the price paid for the goods giving rise to the claim, and we are not liable for loss of profit, loss of business, loss of anticipated savings or any indirect or consequential loss.
12. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including supply chain failure, extreme weather, industrial action, fuel shortage, fire, flood, epidemic, or the act of any government or public authority.
13. Website use
The content of this website is provided for general information. Product images, descriptions, pack sizes and availability are indicative and may change. We take reasonable care to keep the site accurate but do not warrant that it is free from error or that it will be available without interruption.
All trade marks, text, images and design on this site are owned by or licensed to us and may not be reproduced without our written consent.
14. Governing law
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
